These Terms of Service ("Terms") govern your use of adequatedata.com (the "Service"), operated by Adequate Data AI ("Adequate Data," "we," "us," or "our"). By creating an account or using the Service, you agree to these Terms. If you don't agree, please don't use the Service.

1. What We Provide

Adequate Data is a business data question and verification service. You connect supported sources or upload files, ask questions about company data, and we generate answers with calculations, evidence, and exportable proof using AI and application logic. The Service includes the web application, API, and all related features and documentation.

2. Your Account

  • You must be at least 16 years old to use the Service.
  • You must provide accurate information when creating your account.
  • You are responsible for keeping your account credentials secure. Use a strong, unique password.
  • You are responsible for all activity under your account.
  • Notify us immediately if you suspect unauthorized access to your account.

3. Your Data & Ownership

You own your data. All files you upload, databases you connect, queries you write, and content you create through the Service remain yours. We do not claim any intellectual property rights over your content.

You grant us a limited license to access, process, and store your data solely to provide and improve the Service. This license ends when you delete your data or your account.

You represent that you have the right to upload and process the data you provide. Don't connect databases or upload files you don't have authorization to use.

4. AI-Generated Output

The Service uses artificial intelligence (via the Anthropic API, Claude) to help generate calculations, explanations, and evidence summaries based on your questions and source context. You should understand that:

  • AI output is not guaranteed to be correct. Always review generated calculations, source context, assumptions, and proof before relying on an answer.
  • We are not liable for any damage caused by running AI-generated source requests on your databases.
  • Source metadata, your questions, and relevant result context may be sent to Anthropic for processing. See our Privacy Policy for details.

5. Acceptable Use

You agree not to:

  • Use the Service for any illegal purpose or to process data you don't have rights to.
  • Attempt to gain unauthorized access to other users' accounts or data.
  • Reverse engineer, decompile, or attempt to extract the source code of the Service.
  • Use the Service to build a competing product.
  • Abuse, overload, or interfere with the Service's infrastructure.
  • Resell or redistribute the Service without our written permission.
  • Upload malicious files or attempt to send harmful database commands through the platform.

6. Database Connections

When you connect a database to the Service:

  • Your credentials are encrypted with AES-256-CBC and stored securely.
  • We only execute queries that you initiate through the Service.
  • We strongly recommend using read-only database credentials. We are not responsible for data modifications resulting from queries executed with write-enabled credentials.
  • You are responsible for ensuring your database's firewall and access controls are properly configured.

7. Payment & Billing

Some features of the Service require a paid subscription. If you choose a paid plan:

  • You agree to pay the fees associated with your selected plan.
  • Subscriptions renew automatically unless you cancel before the renewal date.
  • We may change pricing with 30 days' notice. Existing subscriptions continue at the current rate until renewal.
  • Refunds are handled on a case-by-case basis. Contact us if you believe a refund is warranted.

8. Service Availability

We aim for high availability but do not guarantee 100% uptime. The Service may be temporarily unavailable for maintenance, updates, or due to circumstances beyond our control. We will make reasonable efforts to notify you of planned downtime in advance.

9. Limitation of Liability

To the maximum extent permitted by law:

  • The Service is provided "as is" without warranties of any kind, express or implied.
  • We are not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data, profits, or business opportunities.
  • Our total liability for any claim arising from the Service is limited to the amount you paid us in the 12 months preceding the claim.
  • We are not liable for any loss or damage resulting from AI-generated queries executed on your databases.

10. Account Termination

By you: You can delete your account at any time from your account settings. Upon deletion, your data will be removed as described in our Privacy Policy.

By us: We may suspend or terminate your account if you violate these Terms, with notice where practicable. In cases of severe abuse, we may terminate access immediately.

11. Indemnification

You agree to indemnify and hold harmless Adequate Data and its team from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any third party's rights.

12. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes via email or by posting a prominent notice on the Service. Continued use of the Service after changes take effect constitutes acceptance. If you disagree with updated Terms, you may delete your account.

13. Governing Law

These Terms are governed by the laws of the State of Texas, United States, without regard to conflict of law principles. Any disputes will be resolved in the courts located in Texas, unless you are entitled to a different jurisdiction under applicable consumer protection laws.
